Upon purchase of a course or subscription, We grant You a limited, non-exclusive, non-transferable, revocable license to access the Content for your personal, individual educational purposes only.

You explicitly agree that you WILL NOT:

2. Create Derivative Works: Use our proprietary frameworks, course outlines, or specific AI methodology to create a competing course, workshop, or consulting product.

4. Share Credentials: Share your login details with any other individual. Accounts are for single-user access only.

The "AI Coach" included in our courses is a specialized tool engineered by SmarterMedium, LLC using proprietary Intellectual Property. Your use of this tool is subject to the following strict conditions:

You acknowledge that the AI Coach is a derivative work powered by Our proprietary inputs. While the underlying technology may be provided by third parties (e.g., OpenAI), the System Prompts, Contextual Data, Fine-Tuning Datasets, and Logical Workflows are the exclusive Intellectual Property of SmarterMedium, LLC.

No Jailbreaking: You agree not to attempt to reverse-engineer, "jailbreak," or use prompt injection techniques to reveal the underlying system instructions of the AI Coach.

To ensure quality and speed for all students, "Unlimited" access is defined as "Human-Scale Usage" consistent with a typical student's workflow.

Prohibited: Automated scripts, bots, spiders, or scrapers are strictly prohibited.

Excessive Use: We monitor usage patterns. If a user's consumption exceeds 3x the average usage of the cohort (approximately 3,000 queries/month) or impacts system stability. We reserve the right to throttle speeds, temporarily cap queries, or suspend the account to discuss usage.

Your Data: You retain 100% ownership of the specific business strategies, documents, and outputs you co-create with the AI Coach during your sessions.

Our Methodology: We retain ownership of the methodology, logic, and frameworks used to generate those answers.

The AI Coach and course materials are for educational purposes only. The AI Coach is an automated system and may occasionally generate incorrect, misleading, or "hallucinated" information.

No Professional Advice: The Content does not constitute legal, financial, or strategic business advice. You should verify critical outputs (e.g., regulatory summaries, budget estimates) with qualified professionals.

Use at Your Own Risk: SmarterMedium, LLC is not liable for strategic errors or business losses resulting from your implementation of AI suggestions.

The Website and Services are provided "as is" and "as available." We adhere to industry best practices for uptime, but we do not warrant that the Site will be error-free, secure, or uninterrupted.

To the maximum extent permitted by Massachusetts law, SmarterMedium, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. In no event shall Our aggregate liability exceed the amount you paid to Us in the twelve (12) months prior to the claim.

By placing an order, you warrant that you are authorized to use the designated payment method. Subscriptions (if applicable) will auto-renew at the end of the billing cycle unless cancelled prior.

Your satisfaction is important to us. However, unlike physical goods, digital courses are consumed immediately upon access. Therefore, we do not offer a standard money-back guarantee.If you feel the course has not met your expectations, you may submit a refund request by emailing info@assistingintelligence.com within 7 days of purchase, provided you have viewed less than 20% of the course content. We review these requests on a case-by-case basis, and the decision to grant a refund is at the sole discretion of SmarterMedium, LLC.

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms (specifically regarding IP theft or account sharing).

You agree NOT to input Personally Identifiable Information (PII), Trade Secrets, or Regulated Data (HIPAA, FERPA, ITAR) into the standard AI Coach interface. You are responsible for sanitizing data (e.g., changing names to "Client A") before input.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Boston, Massachusetts, or via small claims court in Massachusetts if the claim qualifies. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Links to Other Sites: Our Service may contain links to third-party websites or services (e.g., OpenAI, Discord) that are not owned by Us. We have no control over and assume no responsibility for the content or practices of any third-party sites.
